01Eligibility

You must meet all of the following criteria to use our site and purchase our products:

• You are at least 18 years of age
• You are a qualified researcher, scientist, or licensed professional purchasing for legitimate in vitro research purposes
• You are located in the United States (we do not currently ship internationally)
• You are not purchasing for personal use, human administration, or veterinary use
• You have the legal authority to enter into these Terms on behalf of yourself or your institution

By placing an order, you represent and warrant that you meet all of the above criteria. We reserve the right to cancel any order we believe does not meet these requirements.

02Research Use Only — Strict Prohibition on Human Use

By purchasing, you acknowledge and agree that:

• You will use all products exclusively for lawful in vitro research in a properly equipped laboratory setting
• You will not resell, repackage, or redistribute products for human consumption or administration
• You are solely responsible for compliance with all applicable federal, state, and local laws governing the purchase, possession, storage, and use of research chemicals
• Ascnt Labs bears no liability for any misuse of its products

03Products & Orders

Product descriptions. We make every effort to accurately describe our products, including purity data from independent third-party testing. Certificates of Analysis (COAs) are provided for each batch and are available on our website. Product specifications are subject to change between lots; the COA issued with your specific lot governs.

Order acceptance. Placing an order constitutes an offer to purchase. We reserve the right to accept or decline any order for any reason, including but not limited to product availability, suspicion of misuse, or inability to verify purchaser eligibility. You will be notified promptly if your order is cancelled.

Pricing. All prices are listed in U.S. dollars and are subject to change without notice. Prices at the time of your order confirmation are the prices you will be charged. We are not responsible for pricing errors and reserve the right to cancel orders placed at an erroneous price.

Quantity limits. We reserve the right to limit order quantities per customer at our discretion.

04Payment

Payment is due in full at the time of order. We accept the payment methods displayed at checkout. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the full order amount.

All transactions are processed through secure, PCI-compliant third-party payment processors. Ascnt Labs does not store full payment card numbers on our servers.

If your payment is declined or disputed, we reserve the right to cancel or withhold fulfillment of your order until payment is resolved.

05Shipping & Delivery

We ship within the United States only via cold chain express shipping to preserve product integrity. Estimated delivery times are provided at checkout and are estimates only — we are not responsible for carrier delays.

Risk of loss and title for products pass to you upon handoff to the carrier. If your package is lost or arrives damaged, please refer to our Refund & Returns Policy for the claims process.

You are responsible for providing an accurate shipping address. We cannot reship or refund orders lost due to an incorrect address provided at checkout.

06Returns & Refunds

Due to the perishable, research-grade nature of our products, all sales are final. Please review our full Refund & Returns Policy before placing an order. Exceptions apply in cases of verified damage, defective product, or shipping error.

07Intellectual Property

All content on ascntlabs.com — including text, images, product descriptions, COA documents, logos, and site design — is the property of Ascnt Labs or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content on our site without our prior written consent. You may not use our trademarks or branding in connection with any product or service that is not ours.

08Disclaimers

Our website and products are provided “as is” and “as available” without warranties of any kind, express or implied. To the fullest extent permitted by law, Ascnt Labs disclaims all warranties, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that our products will meet your specific research requirements
• Warranties that our website will be uninterrupted, error-free, or free of viruses

COA data reflects testing conducted on a specific lot at a specific point in time. Purity and other specifications may change over time with storage. Researchers are responsible for validating products for their specific applications.

09Limitation of Liability

To the fullest extent permitted by applicable law, Ascnt Labs, its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our products or website, including but not limited to:

• Loss of data, profits, or research results
• Personal injury or property damage resulting from misuse of our products
• Any unauthorized human or veterinary administration of our products
• Third-party claims arising from your use of our products

In no event shall our total liability to you exceed the amount you paid for the specific order giving rise to the claim. Some jurisdictions do not allow certain limitations of liability; in such cases, our liability is limited to the maximum extent permitted by law.

10Indemnification

You agree to indemnify, defend, and hold harmless Ascnt Labs and its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of our products or website; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any unauthorized use of our products for human or veterinary administration.

11Governing Law & Disputes

These Terms are governed by the laws of the United States and the state in which Ascnt Labs is incorporated, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or your use of our site or products shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Ascnt Labs.

We reserve the right to update these Terms at any time. When we do, we will revise the “Last Updated” date at the top of this page. Your continued use of our site or purchase of our products after changes are posted constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
